Terms of Service

These terms cover your use of LimsRat — the website at limsrat.com and the app at app.limsrat.com — operated by Denouement Holdings LLC ("LimsRat," "we," "us"). By using LimsRat you agree to them.

What LimsRat is

LimsRat is browser-based sample-tracking software for research laboratories. It runs locally in your browser, stores data on your own device (and optionally a folder you connect), and syncs directly between your devices peer-to-peer. There is no account or login.

Free tier and Lab Sync

The core app is free to use, with no time limit, for a lab syncing up to 5 devices. Lab Sync is an optional paid tier, billed at $9 per month per lab through our payment processor, Lemon Squeezy. It raises the device limit to 10, and adds bulk QR label printing and combined multi-sample reports for a whole selection at once, and the full Lab health page. Every free-tier feature, including everything else in this list, stays exactly as it is.

Lab Sync is a recurring subscription that renews automatically each month until canceled. You can cancel anytime through Lemon Squeezy's checkout/customer portal; your license remains active through the end of the period you already paid for, and your device limit then returns to the free tier's 5 devices. We do not offer refunds for partial billing periods, consistent with our payment processor's standard terms.

Your data

You own your data. LimsRat does not store your sample records on a server we operate, does not claim any rights to them, and cannot access them unless you explicitly share a file with us (for example, attaching one to a support email). Because your data lives on your own devices, you are responsible for keeping your own backups — the app's CSV export and zip backup of your samples exist for exactly this reason, and we recommend using them. Stage edits in the app can usually be undone, but undo is not a backup.

Workflow setup in a lab

When workflow setup is shared between devices (it is on by default and can be turned off in Settings), one device in your lab manages it, and the stages it sets are applied to every device in the lab. You decide which device that is and can hand it to another; you are responsible for who has access to it. Moving samples between stages is never restricted.

Acceptable use

Use LimsRat for lawful laboratory record-keeping. Don't attempt to disrupt the signaling relay or other infrastructure we operate, don't attempt to circumvent the device-limit licensing, and don't use the software in a way that violates applicable law.

No warranty

LimsRat is provided "as is," without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee the software will be uninterrupted, error-free, or that peer-to-peer sync will always succeed (for example, restrictive network conditions can prevent a direct connection between two devices).

Not for regulated clinical or pharmaceutical use

LimsRat makes no 21 CFR Part 11, HIPAA, or ISO 17025 claim, and is not validated for regulated clinical or pharmaceutical studies. It is built for research labs tracking their own samples. If your work requires a validated, regulated system, LimsRat is not that system — please don't use it for data subject to those requirements.

Limitation of liability

To the maximum extent permitted by law, LimsRat and Denouement Holdings LLC are not liable for any indirect, incidental, special, or consequential damages, including lost data or lost research time, arising from your use of the software — including damages caused by data loss, sync conflicts, or service interruption. Because your data lives on your own devices and you control your own backups, you are best positioned to prevent that kind of loss, and we encourage you to do so.

Termination

You may stop using LimsRat at any time — there's no account to close. We may suspend or restrict access to the signaling relay or Lab Sync licensing infrastructure for use that violates these terms; this has no effect on data already stored on your own device.

Changes to these terms

We may update these terms as the product changes. We'll update the "Last updated" date above when we do; continued use of LimsRat after a change means you accept the updated terms.

Governing law

These terms are governed by the laws of the State of Michigan, USA, without regard to its conflict-of-law principles.
